Buyer Representation

You have the capital and the motivation. The challenge is finding the right business and making sure it holds up before you commit. First Choice Business Brokers (FCBB) represents buyers across Utah, Montana, Wyoming, and Colorado, working on your side of the table through a confidential, structured process and a national network of listings and vetted buyers built since 1994.

Buyers, you have the money, now let’s find you the right business!

Custom searches may take time. However, they often provide long term benefits. The proverbial needle in a haystack may reflect your feelings as a buyer when searching for the perfect business among the multitude of websites providing businesses for sale.

If you, as a Buyer, are searching for a business with strategic acquisition attributes of a certain type, that generates a specific desired net income, producing a product or service that you are familiar with, and in a particular location, then look no further than your professional Business Broker with First Choice Business Brokers. We can assist you in the searching process.

The first step would be to meet with your First Choice Broker and clearly outline your requirements and define your goal, so that he or she may fully understand your pursuit.

Be aware that you will be asked to provide “Proof of Funds” or verifiable proof of available financing before the search begins. A business broker willing to set aside the time to customize your search process must confirm that you are truly interested and qualified, if they are to produce a business opportunity that fits your goals.
You may be asked to sign an agreement stating that, if the Seller or Seller’s agent will not agree to compensate your First Choice Broker, that you agree to pay the compensation. This is clearly stated in advance for the obvious reason that your business broker is only paid a success fee if they find you the right business and transition you into ownership.

In the past 25 years, First Choice has undertaken many custom client searches for buyers, successfully completing transactions resulting in a trusted, years-long partnership between the broker and buyer.

Finding the Right Business Takes a Plan

Searching for the right business among countless for-sale websites can feel like looking for a needle in a haystack. A custom, broker-led search takes time, but it often produces a far better outcome than scrolling listings alone. If you are looking for a business of a particular type, generating a specific net income, in a product or service area you understand, and in a location that works for you, your FCBB advisor can run that search on your behalf.

The first step is a working session with your FCBB advisor to clearly define your criteria and your goals, so the search is focused on businesses that genuinely fit rather than whatever happens to be listed.

What Buyer Representation Includes

Representing a buyer is more than sending listings. Your FCBB advisor works alongside you through the full process:

  • Sourcing. Proactive, confidential outreach across the FCBB national network and beyond, including businesses that are not yet on the market.
  • Screening. Filtering opportunities against your criteria so you spend time only on businesses worth a serious look.
  • Valuation sanity-check. A grounded read on whether an asking price is reasonable, drawing on a Market Price Analysis so you do not overpay.
  • Deal structuring. Help shaping price, terms, financing, and contingencies in a way that protects your interests.
  • Due diligence. Coordinating the review of books, records, lease, licenses, and operations, with your legal and accounting counsel, so there are no surprises after closing.

Proof of Funds and Representation Agreement

Before a custom search begins, you will be asked to provide proof of funds or verifiable proof of available financing. An advisor who sets aside time to run a focused search needs to know a buyer is genuinely interested and qualified. You may also be asked to sign a representation agreement stating that if the seller or the seller's agent will not compensate your FCBB advisor, you agree to cover that compensation. This is stated up front for a simple reason: your advisor earns a success fee only when they find you the right business and help you into ownership.

Finding Businesses That Are Not Yet for Sale

Do not be discouraged if results are not immediate. If the ideal business is not currently listed, your advisor can approach the owner and begin a patient conversation about a future sale. Many owners need time to consider selling when they are not actively on the market.

Some owners who are approached assume they can command an excessive premium simply because a buyer came to them. A skilled advisor addresses that expectation through honest conversation and market evidence. Most owners understand that buyers will not overpay just because a business is not formally listed, and a Market Price Analysis helps both sides anchor to a realistic value.

From Offer to Ownership

Once the right business is identified, your FCBB advisor assists with negotiations and, upon reaching an acceptable agreement, acts as a facilitator and a conduit of information between you and the seller. Your advisor, together with your legal and accounting counsel, helps you work through licenses, insurance, the property lease, and any other contingencies, and helps you complete due diligence so ownership transfers smoothly.

If this fits where you are, come prepared with proof of funds and a clear outline of your objectives. Your FCBB advisor is trained to represent you through the search, the negotiation, and the close, with the same confidential process and national reach FCBB has refined since 1994.

The Business Broker's Guide to Finding the Right Business for You

Do not be discouraged if the results are not immediate. If the business identified is not currently for sale, the Broker will initiate and remain in contact with the would-be seller to “plant the seeds” about selling the business that you desire. Many sellers need time to consider the possibility of selling their business if they are not currently on the market.

Contacted sellers may believe that they can obtain an excessive premium for their business because they “were solicited.” However, your professional business broker will quickly dispel this belief through skillful conversation. While all sellers hope for the best possible asking price, most sellers understand that buyers will not overpay just because the business is not currently listed for sale.

Once your ideal business has been identified, your professionally-trained and skilled First Choice Business Broker will assist in negotiations with the Seller. Upon reaching an acceptable agreement with the Seller to purchase the business, your Broker and your legal and accounting counsel will be your guide to obtaining necessary licenses, insurance, the property lease, and any other contingencies involved in owning the business.

Finally, your Broker will act as a facilitator and a conduit of information between you and the seller to complete your Due Diligence and to work out any final details to ensure a smooth transition of business ownership.

If you fit this category, come prepared with Proof of Funds and a clear outline of your objectives. Your First Choice Business Broker is professionally trained to assist you in searching for the right business for you.
