What Buyer Representation Includes
Representing a buyer is more than sending listings. Your FCBB advisor works alongside you through the full process:
- Sourcing. Proactive, confidential outreach across the FCBB national network and beyond, including businesses that are not yet on the market.
- Screening. Filtering opportunities against your criteria so you spend time only on businesses worth a serious look.
- Valuation sanity-check. A grounded read on whether an asking price is reasonable, drawing on a Market Price Analysis so you do not overpay.
- Deal structuring. Help shaping price, terms, financing, and contingencies in a way that protects your interests.
- Due diligence. Coordinating the review of books, records, lease, licenses, and operations, with your legal and accounting counsel, so there are no surprises after closing.
Proof of Funds and Representation Agreement
Before a custom search begins, you will be asked to provide proof of funds or verifiable proof of available financing. An advisor who sets aside time to run a focused search needs to know a buyer is genuinely interested and qualified. You may also be asked to sign a representation agreement stating that if the seller or the seller's agent will not compensate your FCBB advisor, you agree to cover that compensation. This is stated up front for a simple reason: your advisor earns a success fee only when they find you the right business and help you into ownership.
Finding Businesses That Are Not Yet for Sale
Do not be discouraged if results are not immediate. If the ideal business is not currently listed, your advisor can approach the owner and begin a patient conversation about a future sale. Many owners need time to consider selling when they are not actively on the market.
Some owners who are approached assume they can command an excessive premium simply because a buyer came to them. A skilled advisor addresses that expectation through honest conversation and market evidence. Most owners understand that buyers will not overpay just because a business is not formally listed, and a Market Price Analysis helps both sides anchor to a realistic value.
From Offer to Ownership
Once the right business is identified, your FCBB advisor assists with negotiations and, upon reaching an acceptable agreement, acts as a facilitator and a conduit of information between you and the seller. Your advisor, together with your legal and accounting counsel, helps you work through licenses, insurance, the property lease, and any other contingencies, and helps you complete due diligence so ownership transfers smoothly.
If this fits where you are, come prepared with proof of funds and a clear outline of your objectives. Your FCBB advisor is trained to represent you through the search, the negotiation, and the close, with the same confidential process and national reach FCBB has refined since 1994.
